The Skating Club of Boston’s Board of Directors and Hurwit and Associates, the Club’s legal counsel in this matter, have completed a review of the Club’s current Bylaws over the past two years in a 2-phase process. The Club’s Bylaws were last reviewed in the first phase in 2019 and adopted at the Club’s Annual Meeting June 7, 2019. The purpose of this year’s second phase review is to better align with best practices to: 1) create a more agile Board focused on the needs of our members, and to accommodate our increasing scale and evolving business direction; 2) modify the Nominating Committee process to allow for deeper and more diverse recruiting within the membership; and 3) make housekeeping changes to conform Bylaws with IRS 501(c)(3), U.S. Figure Skating and other laws.
The Board of Directors has approved several amendments to the Bylaws proposed by counsel, as well as U.S. Figure Skating changes. The Board is now requesting the support and approval of the Club membership in order to formally adopt the amendments.
To that end, the Club’s legal counsel has prepared an informational grid to identify and explain the proposed amendments. Counsel has also provided a red-lined, mark-up of the current Bylaws indicating the proposed, amended language. Both documents, as well as a prepared statement from Club counsel, are available for your review below.
The recommended changes will be voted on at the Club’s Annual Meeting on June 5, 2020. Eligible voting members of the Club may cast their vote by advance ballot. Ballots will be mailed to voting members with instructions later this month and must be returned to 1240 Soldiers Field Road by 5:00 pm on Friday, June 5, 2020. Ballots may be submitted in person or by mail.
